01Acceptance of these terms
These Terms & Conditions (the “Terms”) govern your access to and use of Unilytic — the Unilytic web application, backend API, and marketing website (together, the “Service”).
By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Service.
If you use the Service on behalf of a business or other organization, you confirm that you have the authority to bind that organization to these Terms, and “you” refers to that organization.
02About the Service
Unilytic (“Unilytic”, “we”, “us”, or “our”) is an inventory-analysis and shipment-planning tool for Amazon sellers. The Service is operated by Autotronics India, based in Hisar, Haryana, India.
The Service lets you upload and connect inventory data, view analytics across warehouses, and plan shipments. Unilytic accesses Amazon data on a read-only basis and never writes to, or changes anything in, your Amazon account.
Unilytic is an independent product. It is not affiliated with, endorsed by, or sponsored by Amazon or any other marketplace.
Some features — including the returns and reimbursement reconciliation tools — present estimated figures such as projected reimbursement values and potential amounts lost. These estimates are derived from the data Amazon makes available and are provided for guidance only. They are not financial, accounting, or tax advice and are not a guarantee of any reimbursement. Amazon’s own reports and Seller Central remain the authoritative source; you should verify figures there before relying on them for claims, accounting, or filings.
03Eligibility
To use the Service you must be at least 18 years old and capable of forming a legally binding contract. The Service is intended for business use by sellers and their teams.
You agree to provide accurate, current, and complete information when you register, and to keep that information up to date.
04Accounts and organizations
Your data in Unilytic is grouped under an “organization”. The person who creates an organization is its owner and may invite team members and assign roles (owner, admin, or member). You are responsible for:
- maintaining the confidentiality of your login credentials;
- the security of the devices, browsers, and systems you use to access the Service;
- all activity that occurs under your account and within your organization;
- the team members you invite and the access levels you grant them.
Notify us promptly at akshat@unilytic.in if you suspect any unauthorized use of your account.
05Connecting your Amazon account
If you connect your Amazon seller account, you authorize Unilytic to access your Amazon data through the official Amazon Selling Partner API (SP-API) on a read-only basis, solely to provide the Service to you.
You remain responsible for complying with Amazon's own agreements and policies in relation to your seller account. You may disconnect Unilytic's access at any time from within the Service or from Amazon Seller Central, as described in our Privacy Policy.
06Acceptable use
You agree not to:
- use the Service for any unlawful purpose or in violation of any applicable law;
- copy, reproduce, modify, reverse-engineer, decompile, or attempt to extract the source code of the Service;
- access, or attempt to access, data belonging to any other organization or user;
- resell, sublicense, rent, commercially exploit, or redistribute the Service without our written permission;
- use unauthorized bots, scripts, or other automated means to access or interact with the Service;
- scrape the Service, or carry out load testing, penetration testing, or security scans, without our prior written permission;
- overload, disrupt, or interfere with the Service or its infrastructure, or attempt to bypass usage limits or security measures;
- upload malicious code or any content that infringes the rights of others.
We may suspend or terminate access for any breach of this section.
07Subscriptions, billing and payment
Unilytic offers a time-limited free trial and paid plans:
- Free trial — every new organization gets a 30-day free trial with access to the Service under the Free tier's caps. The trial is a one-time evaluation period; it is not a perpetual free plan. After the trial ends, continued use of the Service requires a paid subscription, or you may contact us about your situation.
- Pro plan — ₹2,499 per month, billed through our payment processor, Razorpay.
- Business plan — ₹4,999 per month, billed through Razorpay, with higher member, inventory-row, SKU, and warehouse caps than the Pro plan. See the Pricing page for the current caps of each plan.
Paid subscriptions are billed in advance on a recurring monthly cycle and renew automatically until cancelled. Prices are exclusive of applicable taxes; GST and any other applicable taxes will be added where required by law.
Payments are collected and processed by Razorpay. Unilytic does not store your card or bank details (see our Privacy Policy). By subscribing, you authorize us and Razorpay to charge your selected payment method for each renewal until you cancel.
08Cancellation and refunds
You may cancel your subscription at any time from your organization's billing settings. Cancellation is performed by the organization owner. Unless you choose to cancel immediately, your cancellation takes effect at the end of the current billing cycle — you keep paid access until then, after which your plan reverts to the free plan.
Plan upgrades within an active cycle. If you upgrade from a paid plan to a higher paid plan (for example, Pro to Business) within 15 days of your most recent successful charge on the previous plan, we will refund the full amount of that charge for the previous plan when the upgrade completes. Upgrades made after 15 days of the most recent charge are not eligible for a refund of the previous plan; the new plan is charged in addition. Refund timing depends on the original payment method (typically 5–7 business days for cards, instant for UPI).
Plan downgrades (for example, Business to Pro). Downgrades are not processed mid-cycle and do not generate a refund for the current period. To move from a higher paid plan to a lower paid plan, you must first cancel your current subscription, continue on the higher plan until the end of the cycle you have already paid for, and then subscribe to the lower plan once the cycle ends. No refund is issued for the cycle in which you cancel.
09Price and plan changes
We may change our subscription prices, plan limits, or features from time to time. For existing paid subscribers, we will give reasonable prior notice of any price increase, and the change will apply from the next billing cycle. If you do not agree to a price change, you may cancel before it takes effect.
10Your data and content
You retain ownership of the inventory and business data you upload to, or connect with, the Service (“Your Data”). You grant Unilytic a limited, non-exclusive licence to host, process, and display Your Data solely to operate and provide the Service to you. You represent and warrant that you have all necessary rights and permissions to upload Your Data to, and process it through, the Service.
Our handling of personal data is described in our Privacy Policy. You can export Your Data from the Service, and you are responsible for keeping your own backups of any data that is important to you. We recommend exporting important operational data periodically.
- Delete oldest historical rows by full date. If you confirm, the inventory rows for the chosen dates are deleted permanently. We do not retain copies.
- Choose which SKUs or warehouses to keep within your cap. If you confirm a selection, every inventory row referencing a SKU or warehouse you did not select is deleted permanently, and subsequent uploads and Amazon syncs will continue to drop data for those excluded items as long as the selection remains in effect.
11Intellectual property
The Service — including its software, design, text, logos, and the “Unilytic” brand — is owned by Autotronics India and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes for the duration of your subscription. No other rights are granted.
You may not use the Unilytic name or logo without our prior written permission.
12Third-party services
The Service relies on third-party providers, including Amazon (Selling Partner API), Razorpay (payments), Supabase, and others. Your use of those services may be subject to their own terms.
We are not responsible for the availability, accuracy, acts, or omissions of third-party services. Any data we obtain from Amazon depends on what Amazon makes available through its API.
13Service availability and changes
We aim to keep the Service available and reliable, but it is provided on an “as available” basis. We do not guarantee that the Service will be uninterrupted or error-free. We may modify, add, suspend, or discontinue any part of the Service, carry out maintenance, or impose limits — where reasonably possible, with prior notice. We may also impose reasonable usage, rate, or storage limits to protect the stability, security, and fair use of the Service.
Some features of the Service may be experimental, under development, or provided in beta form, and may change, be limited, or be removed without notice.
14Disclaimer of warranties
To the maximum extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
The Service, and any analysis or output it produces, does not constitute financial, accounting, tax, legal, logistics, or professional business advice. You should obtain independent professional advice where appropriate before making decisions.
Unilytic does not guarantee compliance with Amazon's policies, storage limits, reimbursement or claims policies, shipment or inbound requirements, or other marketplace rules. You remain responsible for understanding and meeting Amazon's requirements for your account.
15Limitation of liability
To the maximum extent permitted by law, Unilytic and Autotronics India will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, sales, goodwill, or data, or for losses arising from stockouts, overstocking, or business decisions made using the Service.
Our total aggregate liability arising out of or relating to the Service or these Terms will not exceed the total fees you paid to us in the 3 months immediately before the event giving rise to the claim. Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law.
16Indemnification
You agree to indemnify and hold harmless Unilytic and Autotronics India from any claims, damages, liabilities, and reasonable expenses (including legal costs) arising out of your misuse of the Service, your violation of these Terms, your violation of any applicable law, or your infringement of the rights of any third party.
17Force majeure
We are not liable for any delay in, or failure of, performance caused by events beyond our reasonable control. This includes, without limitation, internet or hosting outages, failures or downtime of third-party services (such as the Amazon SP-API, Razorpay, or our cloud providers), cyberattacks, power failures, natural disasters, and acts of government. We will make reasonable efforts to restore normal operation of the Service as soon as practicable.
18Suspension and termination
You may stop using the Service at any time and cancel as described in Section 8. We may suspend or terminate your access to the Service, in whole or in part, if you breach these Terms, fail to pay applicable fees, or use the Service in a way that may cause harm or legal risk to us or others.
On termination, your right to use the Service ends. Your data is retained and deleted in accordance with the retention rules in our Privacy Policy. Sections of these Terms that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — will continue to apply.
19Changes to these terms
We may update these Terms from time to time. When we do, we will revise the “Last updated” date at the top of this page, and for material changes we will take reasonable steps to notify you, such as by email or an in-app notice. Your continued use of the Service after the updated Terms take effect constitutes your acceptance of them.
20Governing law and disputes
These Terms are governed by and construed in accordance with the laws of India. Subject to any rights you have under applicable law, the courts at Hisar, Haryana, India will have jurisdiction over any dispute arising out of or relating to these Terms or the Service.
We encourage you to contact us first — most concerns can be resolved informally without the need for a formal dispute.
